渤海活塞获注北汽集团23亿汽车零部件资产 热点栏目 资金流向 千股千评 个股诊断 最新评级 模拟交易 客户端 新浪财经Level2:A股极速看盘 新浪财经客户端:最赚钱的投资者都在用   ⊙记者 郭成林 ○编辑 孙放   渤海活塞今日发布重组预案,公司拟以9元每股定增2.19亿股,并支付现金3.48亿元,合计作价23.21亿元收购滨州发动机100%股权和泰安启程49%股权;同时,公司拟以不低于9元每股定增募集配套资金18.65亿元,其中公司控股股东北汽集团的拟认购金额为不低于3亿元,所募资金主要用于滨州发动机年产25万套汽车发动机缸体、缸盖、曲轴建设项目、前瞻技术研发中心等。由此,北汽集团将实现入主渤海活塞之后的资产和资金注入。   据预案,由于标的资产滨州发动机的股东方海纳川与渤海活塞同受北汽集团控制,此次重组构成关联交易。重组完成后,渤海活塞将直接持有滨州发动机100%股权、(直接和间接)合计持有泰安启程100%股权;同时,公司实际控制人仍为北京市国资委,不会导致控制权发生变更。   公告显示,滨州发动机以研发、制造、销售汽车发动机部件为主营业务,自2014年8月成立至今,一直从事发动机部件生产项目的筹建工作。截至2015年末,该项目尚未完工,因而并未实际开展对外经营,并无经营收入。泰安启程则以轮毂设计、制造、销售为主要业务,是国内主要的铝合金车轮出口生产企业之一。其铝合金车轮80%以上直接出口到国际市场,主要销往美国等北美国家。   此次重组中,标的资产的定价系采取市场法评估。截至2015年12月31日,滨州发动机100%股权的预估值为21.76亿元,预估增值率为215.80%;泰安启程49%股权的预估值为1.74亿元,预估增值率为68.33%。经交易各方协商确定,标的滨州发动机100%股权以及泰安启程49%股权的交易价格分别暂定为21.61亿元与1.60亿元。   值得一提的是,在此次交易实施前,需要对滨州发动机进行资产整合,即海纳川将持有的泰安启程51%股权、英瑞杰40%股权、翰昂20%股权、天纳克减振35%股权、天纳克排气49%股权等无偿划转至滨州发动机旗下。截至今年1月29日,上述无偿划转事宜已取得北京市国资委的批复。   渤海活塞表示,交易完成后,上市公司将会整合海纳川旗下优质的业务资源,汽车零部件业务不再局限于活塞类产品。上市公司可以整合海纳川、北汽集团、子公司其他股东方的客户资源,开拓所布局业务的市场,产品种类和业务类型将进一步得到扩展。同时,公司总资产、净资产和营业收入规模均将得以提升,资产规模和业务范围都将得到扩大,抗风险能力提高,持续经营能力显著增强。   2014年年中,经国有股权无偿划转,北汽集团入主渤海活塞,公司实际控制人也从滨州市国资委变更为北京市国资委。此番重组,亦可视为当年易主的后续动作。THE_END 进入【新浪财经股吧】讨论相关的主题文章:
